Mineros S.A. (TSX:MSA, MINEROS:CB) has appointed Alan Wancier Rode as interim President and CEO following the departure of Andrés Restrepo, who stepped down from executive duties upon being elected to the company’s board of directors.

Rode, who will remain CFO, will hold the interim role until David Londoño takes over on April 8.

At its general shareholders meeting held March 31, the Colombia-based gold miner also approved a 2025 dividend of $0.10 per share, totaling $29.97 million, to be paid in quarterly installments of $0.025.

The dividend, subject to a 20% withholding tax for most non-resident investors, aligns with the company’s policy of returning at least 15% of net income to shareholders.

Shareholders also authorized the board to initiate a share buyback program of up to $12 million over the next two years, pending regulatory approvals in Colombia and Canada.

A new board of directors was elected through Colombia’s slate-based voting system.

Sofia Bianchi, Marco Izquierdo Llanos, Michael Doyle, Daniel Henao, and Felipe J. Martins are among the returning members, with newcomers Natalia Correa and Augusto López Valencia joining. The board’s new makeup follows strong shareholder support for Slate 2, which received 88% of the vote.

In addition, shareholders approved the reappointment of Deloitte & Touche as auditors and ratified director compensation, with board members set to earn $55,000 annually, plus additional fees for committee roles.

Mineros also confirmed it filed an updated technical report for its Nechí Alluvial Property and released its 2024 Annual Information Form in compliance with Canadian securities regulations. The filings include revised mineral resource and reserve estimates for the Colombian project.

The company continues to trade on the Toronto and Colombia Stock Exchanges, with operations spanning Colombia and Nicaragua.
